1. Acceptance of Terms

By creating an account or using the Service, you confirm that you are at least 18 years old and have the legal authority to enter into these Terms. If you are using the Service on behalf of an organization, you represent that you have the authority to bind that organization to these Terms.

2. Description of Service

Upkram is a coaching center management platform that provides tools for:

• Student enrollment and profile management
• Course, batch, and timetable organization
• Fee management with ledger tracking and receipt generation
• Attendance recording and reporting
• Exam creation, grading, and result analytics
• Library and study hall seat management
• Live video classes
• WhatsApp notifications and receipts

3. User Accounts

• You are responsible for maintaining the confidentiality of your account credentials.
• You must provide accurate and complete information during registration.
• You are responsible for all activities that occur under your account.
• You must notify us immediately of any unauthorized access to your account.
• Administrators are responsible for the data they enter about students, staff, and their institution.

4. Acceptable Use

You agree not to:

• Use the Service for any unlawful purpose or in violation of any applicable laws
• Upload false, misleading, or fraudulent information
• Attempt to gain unauthorized access to other users' accounts or data
• Interfere with or disrupt the Service or its infrastructure
• Use the Service to send spam, unsolicited messages, or bulk communications
• Reverse engineer, decompile, or attempt to extract the source code of the Service
• Use automated tools (bots, scrapers) to access the Service without our written consent

5. Payment Terms

• Certain features of the Service require a paid subscription.
• Subscription fees are billed monthly or annually as selected during purchase.
• All fees are quoted in Indian Rupees (INR) and are inclusive of applicable taxes.
• Payments are non-refundable except where required by law or as stated in our refund policy.
• We reserve the right to change subscription pricing with 30 days' notice.
• Free tier users may be subject to usage limits (student count, features) as described on our pricing page.

6. Intellectual Property

The Service, including its design, code, features, logos, and content, is owned by Upkram and protected by intellectual property laws. You are granted a limited, non-exclusive, non-transferable license to use the Service for its intended purpose.

You retain ownership of all data you enter into the Service. By using the Service, you grant us a limited license to process, store, and display your data solely for the purpose of providing the Service.

7. Data & Privacy

Your use of the Service is also governed by our Privacy Policy, which describes how we collect, use, and protect your information. By using the Service, you consent to the practices described in the Privacy Policy.

8. Service Availability

We strive to maintain high availability but do not guarantee uninterrupted access. The Service may be temporarily unavailable due to maintenance, updates, or circumstances beyond our control. We will make reasonable efforts to provide advance notice of planned maintenance.

9. Limitation of Liability

To the maximum extent permitted by applicable law:

• The Service is provided "as is" and "as available" without warranties of any kind.
• We are not liable for any indirect, incidental, special, consequential, or punitive damages.
• Our total liability for any claim arising from the Service shall not exceed the amount you paid us in the 12 months preceding the claim.
• We are not responsible for data loss resulting from user error, unauthorized access to your account, or events beyond our reasonable control.

10. Termination

• You may terminate your account at any time by contacting us.
• We may suspend or terminate your access if you violate these Terms or engage in activity that harms the Service or other users.
• Upon termination, your right to use the Service ceases immediately. We will retain your data for 90 days, after which it will be permanently deleted.
• You may request a data export before account deletion.

11. Governing Law & Disputes

These Terms are governed by and construed in accordance with the laws of India. Any disputes arising from these Terms or the Service shall be subject to the exclusive jurisdiction of the courts in Patna, Bihar, India.

Before initiating legal proceedings, both parties agree to attempt to resolve disputes through good-faith negotiation for a period of at least 30 days.

12. Changes to Terms

We reserve the right to modify these Terms at any time. We will notify users of material changes via email or a notice on the Service. Continued use of the Service after the effective date of revised Terms constitutes acceptance. If you do not agree to the revised Terms, you must stop using the Service.
